Except to the extent set forth in the specific rules for a particular sweepstakes (the “Specific Rules”), these General Official Rules (the “Official Rules”) will apply to all sweepstakes or giveaways (each, a “Giveaway”) conducted by Water Pik, Inc. (“Sponsor”), a wholly-owned subsidiary of Church & Dwight Co., Inc. Giveaways are governed by these Official Rules and the applicable Specific Rules and are subject to all applicable U.S. federal, state and local laws. Void where prohibited. In the event of a conflict between any term of these Official Rules and a Giveaway’s Specific Rules, the term in the Specific Rules for that Giveaway will govern. If any provision(s) of the Official Rules or Specific Rules are held to be invalid or unenforceable, all remaining provisions will remain in full force and effect.

By participating and entering in a Giveaway, each entrant (or a minor entrant’s parent or legal guardian on its behalf) acknowledges that he/she has read these Official Rules and the Specific Rules applicable to such Giveaway (collectively hereafter, the “Rules”) and agrees to be bound by them and by the decisions of Sponsor, which are final and binding on all matters pertaining to the Giveaway. Noncompliance with the Rules may result in disqualification and all associated entries will be void. Sponsor may, in its sole discretion, suspend, modify or discontinue any Giveaway at any time.

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN A GIVEAWAY. A purchase or payment will not improve your chances of winning.

1. Eligibility. Giveaways are open only to legal residents of the fifty (50) United States and District of Columbia, who are eighteen (18) years of age or older at the time of entry. If you are a minor in your state of legal residence, you must enter with the permission of your parent or legal guardian and your parent or legal guardian must agree to abide by and be bound by the Rules on your behalf. Any reference to “entrant” or “winner” in the Rules shall mean, as applicable, such entrant’s or winner’s parent or legal guardian in the case of eligible entrants who are under the age of majority in his/her state of legal residence. Employees of Sponsor and its parent, subsidiaries, divisions, affiliates and advertising or promotional agencies, and the immediate family and household members of such individuals are not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three (3) months a year, whether related or not.

2. Entry Period/How to enter. The entry period and the instructions on how to enter a particular Giveaway will be set forth in the Specific Rules for that particular Giveaway. Pacific Time (“PT”) shall control for all purposes of each Giveaway, unless otherwise stated in the Specific Rules. Sponsor’s designated clock shall be the official timekeeper for the Giveaway. Although it is free to enter, standard message and data rates may be incurred if you use your mobile device to submit your entry. Unless otherwise stated in the Giveaway’s Specific Rules, entry is limited to one (1) entry per person per Giveaway.

Entries in excess of these limits will be disqualified. Entries will be deemed to have been submitted by the authorized account holder of the email address associated with the social media account from which entry is made at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Entering or attempting to enter a Giveaway multiple times through the use of multiple email addresses or social media accounts or otherwise is prohibited and any such entries will be deemed void and disqualified. Mechanically altered or reproduced entries are not eligible and will be deemed void and disqualified.

3. Winner Selection; Odds of Winning. After the close of a Giveaway’s entry period or such other date/time set forth in a Giveaway’s Specific Rules, Sponsor will randomly select the winner(s) from all eligible entries received for that Giveaway. The number of winners to be selected for each Giveaway will be stated in the Specific Rules; notwithstanding the foregoing, Sponsor reserves the right to select any number of winners, including no winner at all, in its sole discretion, dependent upon the number of entries and/or sufficiency of entries, submitted for any given Giveaway. All winners may be subject to verification of eligibility and compliance with the Rules as determined by Sponsor in its sole discretion. Odds of winning a Giveaway will depend upon the total number of eligible entries received for that Giveaway. Decisions of Sponsor are final and cannot be appealed.

4. Prize. Prizes are subject to the terms and conditions set forth herein. In addition, each Giveaway’s Specific Rules will have a description of the prizes available to be won in that Giveaway, as well as the approximate retail value (“ARV”) of the prize(s) and any additional rules, terms, restrictions or conditions applicable to such prize(s). Other prize conditions may be added or modified by Sponsor or its designee. If a prize package includes a gift card, the gift card will be subject to its terms and conditions and will not be replaced if lost or stolen. Sponsor is not responsible for any changes of any element of a prize. No transfer, refund, cash redemption, substitution or replacement of prize or any prize component permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a prize or prize component of equal or greater value (or cash equivalent). No more than the stated number of prizes will be awarded. If legitimately claimed, all stated prizes will be awarded. In the event that production, technical, mechanical, typographical, programming or any other reasons cause more than the stated number of prizes as set forth in the Giveaway’s Specific Rules to be available and/or claimed, Sponsor reserves the right to randomly award only the stated number of prizes from among all legitimate, unawarded, eligible prize claims. Potential winners who have not reached the age of majority in their state of legal residence shall require consent of their parent/legal guardian to accept any prize and/or the prize must be awarded to their parent/legal guardian on their behalf.

Any portion of any prize not accepted or unclaimed and/or unused by a winner will be forfeited and will not be substituted. Winners are responsible for all expenses not specifically included in the prize package, and all applicable federal, state and local taxes and other fees. A winner receiving a prize valued over $600 will be issued an IRS form 1099 for tax purposes at the end of the calendar year in the amount of the actual retail value of the prize won, winner will be required to submit his/her social security number in connection therewith, and a copy of such form will be filed with the IRS. Sponsor will not replace any lost, damaged or stolen prizes, unless otherwise determined in Sponsor’s sole discretion. All prizes are awarded “AS IS, WHERE IS”, with no warranty or guarantee of any kind, express or implied, including without limitation any warranty of merchantability or suitability for a particular purpose. ARV of prizes is in U.S. dollars. Actual value of the prize awarded may be lower or higher at the time of its fulfillment. Any difference between actual value and stated ARV (if actual value is lower than stated ARV) will not be awarded.

5. Winner Notification. The potential winner(s) of a Giveaway will be announced on the Giveaway social media post and/or contacted via direct message or as otherwise stated in the Giveaway’s Specific Rules. Winners may be required, in Sponsor’s discretion, to complete and return a Declaration of Eligibility, Release of Liability and Publicity Release (where permitted by law) and other documentation that may be required by Sponsor (collectively, the “Declaration”) by the date or within the time frame specified by Sponsor or an alternate winner may be selected as set forth in the Rules. If any winner is under the age of majority in his/her state of legal residence, the parent/legal guardian of such winner will be required to execute and return the Declaration on such minor’s behalf. In the event: (a) a potential winner cannot be reached for whatever reason after a reasonable effort has been exerted or winner notification or Declaration is returned as undeliverable; (b) a potential winner declines or cannot accept, receive or use the prize for any reason; (c) of noncompliance with the above or within any of the aforesaid time periods, (d) a potential winner is found to be ineligible to enter the Giveaway or receive the prize, (e) a potential winner cannot or does not comply with the Rules, or (f) a potential winner fails to fulfill the Declaration-related obligations, the potential winner shall be disqualified from the Giveaway and an alternate potential winner may be randomly selected, at Sponsor’s sole discretion, from among the other eligible entries received.

6. Publicity Release; Use of Personal Information. Except where prohibited or restricted by law, a winner’s acceptance of prize constitutes the winner’s agreement and consent for Sponsor and any of its designees to use and/or publish winner’s name (in whole or in part), social media handle, city and state of residence, entry (in whole or in part), photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by winner regarding the Giveaway or Sponsor, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. By entering a Giveaway, entrants will be sharing their personal information with Sponsor, which personal information will be collected and used for administration of the Giveaway and awarding/fulfilling the prize(s). In addition, by entering, entrants agree to Sponsor’s use of entrant’s personal information as described in its privacy policy at https://churchdwight.com/privacy-policy.aspx. Please refer to Sponsor’s privacy policy for important information regarding the collection, use and disclosure of personal information by Sponsor. Sponsor is not responsible for disclosures made by any third party.

7. No Tampering; Right To Cancel; Modify. Sponsor and its parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any prize to entrants, with regard to: (a) entries that contain inaccurate information or do not comply with or violate the Rules; (b) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, including but not limited to, spam filters, privacy settings, inactive email or social media accounts or an entrant’s failure to monitor its spam folders and/or email or social media accounts; (c) any printing or typographical errors in any materials associated with the Giveaway; (d) entrants who have committed fraud or deception in entering or participating in the Giveaway or claiming the prize; (e) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties of any kind; (f) any inability of the winner to accept the prize for any reason; (g) any condition or circumstance that may cause the Giveaway to be disrupted or corrupted, or if a prize cannot be awarded, due to delays or interruptions caused by Acts of God, natural disasters, terrorism, epidemic, pandemic or outbreak of communicable disease, quarantine, national, regional or state of emergency or emergency disaster, weather, or any other event beyond Sponsor’s reasonable control; or (h) any damages, injuries or losses of any kind caused by any prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any prize or resulting from participating in the Giveaway or any Giveaway or prize related activities. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Giveaway, or with any website promoting the Giveaway; (b) acting in violation of the Rules; or (c) entering or attempting to enter the Giveaway multiple times through the use of multiple email addresses, multiple social media accounts or otherwise. If Sponsor determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Giveaway, Sponsor reserves the right to void the entries at issue, and/or terminate the relevant portion of the Giveaway promotion, including the entire Giveaway promotion, and/or modify the Giveaway and/or, in the event of termination, award the prizes in a random drawing from all eligible entries received as of the termination date.

8. Release of Liability; Disclaimer of Warranty; Forum Selection Clause. By participating in the Giveaway, entrants and winners agree to release and hold harmless Sponsor, Instagram, Facebook, and their respective parents, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors (the “Released Parties”), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Giveaway, or possession, acceptance and/or use or misuse of the prize or participation in any Giveaway-related or prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. The Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer, regardless of how caused, 2473271v1 relating to or resulting from entering or downloading materials or software in connection with this Giveaway. Entrants and winners acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to any prize or any component thereof. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules/Specific Rules or the rights and obligations of entrant or Sponsor in connection with the Giveaway, shall be resolved individually, without resort to any form of class action, and shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Colorado. In addition, any dispute relating to a Giveaway (including the Official Rules and/or Specific Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the State of Colorado. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction that they may have. Any and all claims, judgment and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees and under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and further waives any and all rights to have damages multiplied or otherwise increased.

10. Winner List. To obtain a copy of the winner’s list for a particular Giveaway, available after the end date of such Giveaway, send a self-addressed, stamped envelope to: Water Pik Giveaway, 1730 East Prospect Rd., Fort Collins, CO 80553-0001, and indicate the entry period dates of the particular Giveaway in your request. All requests must be submitted for Sponsor’s receipt by no later than thirty (30) days after the applicable Giveaway’s end date
